Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and RJ Provisions LLC, doing business as VendorSnap ("VendorSnap," "we," "us," or "our") governing your use of the VendorSnap mobile application (the "App").

By creating an account or using the App, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the App.

1. Eligibility

You must be at least 18 years old and able to form a binding contract under the laws of your jurisdiction to use VendorSnap. By using the App, you represent that you meet these requirements.

VendorSnap is designed for individual sellers, antique and vintage resellers, flea market and estate sale sellers, and similar small-business resellers. Commercial use outside this scope (for example, large retail chains) is not supported.

2. Your account

• You are responsible for the accuracy of the information you provide.
• You are responsible for all activity that occurs under your account.
• You must keep your password confidential and tell us right away at support@vendorsnap.app if you suspect unauthorized access.
• You may have only one account. We may suspend duplicates.

3. Your content and your inventory

You keep all rights to the photos, videos, item descriptions, prices and other content you add to VendorSnap ("Your Content"). By adding it, you give us a limited, worldwide, royalty-free license to host, display, transmit and process Your Content only as needed to run the App for you: for example, showing your inventory back to you, printing price tags, running the AI features you ask for, and sending your listings to the marketplaces you choose. This license ends when you delete the content or your account, except for listings you have published on a marketplace, which that marketplace controls.

You are solely responsible for the accuracy of your item descriptions, photos, prices and condition, and for the legality of every item you list or sell. We do not verify, endorse or guarantee the authenticity or legal status of any item.

4. Payments and sales

• VendorSnap is not a payment processor. The App records your sales and shows your payment handles (cash, Venmo username, Zelle email or phone) so your customers can pay you directly. We do not hold funds or remit payments.
• Tap to Pay and card readers: if you take card payments in the App, they are processed by Square under your own Square account and Square's terms. VendorSnap is not a party to those payments and does not decide approvals, holds, fees, disputes or payouts.
• Marketplace sales: a sale on eBay, Etsy, Facebook Marketplace, Vinted, Depop or Poshmark is between you, your buyer and that marketplace, under its terms. Recording it in the App (Mark as Sold) only keeps your records and listings in step.
• You are solely responsible for collecting payment, refunds, returns, shipping, disputes, and the taxes on your sales.
• The tax settings, sales totals, tax summaries and exports in the App are conveniences for your records. They are not tax, legal or accounting advice, and we make no promise that any rate or total is right for your situation.

5. Subscriptions

VendorSnap has a free plan and paid plans (VendorSnap Pro and VendorSnap Business). Each plan's features and limits, and its price in your currency, are shown in the App before you buy.

• Billing. Paid plans are bought through the Apple App Store or Google Play and billed to your Apple or Google account at the price shown when you confirm the purchase.
• Automatic renewal. A subscription renews automatically at the end of each period (monthly or yearly) at the then-current price unless you turn off auto-renew at least 24 hours before the period ends.
• Free trials and offers. If your plan starts with a free trial or a free or discounted offer period, it becomes a paid subscription when that period ends unless you cancel at least 24 hours before. Offer codes and promotions are subject to the terms shown with them and to Apple's and Google's rules.
• Cancelling. Manage or cancel your subscription in your Apple ID or Google Play account settings. Cancelling stops the next renewal; you keep your plan until the end of the period you paid for. Deleting the App or your VendorSnap account does not cancel a subscription by itself.
• Refunds. Refunds are handled by Apple or Google under their policies.
• Price changes. If a price changes, Apple or Google will tell you beforehand as their rules require, and you can cancel before it applies.
• Limits. Plans include limits that keep VendorSnap affordable for everyone, such as how many items you can keep and monthly limits on AI features, with a daily cap. They are shown in the App and may change; we will give reasonable notice before a change that takes away something you rely on.
• When a plan ends, your items, sales and listings stay in your account on the free plan; features and limits go back to the free plan's.

Referral program

Every account gets a personal invite link and code (Settings › Invite Friends). If someone you invite creates a new VendorSnap account, enters your code within 7 days of signing up, and starts their first VendorSnap Pro free trial or subscription through the App Store or Google Play, you earn one free month:

• The month is added about 48 hours after their trial or subscription starts, if it is still on then; if they turned it off, it is added when they first pay.
• If you don't pay for VendorSnap, you get a month of Pro. If you pay through Google Play or the App Store, your next renewal moves back by a month instead. Apple allows this twice a year; any further months, and months earned during your own free trial, are saved and added later.
• A free year: the third friend of yours who counts makes it a full free year, 10 more months on top of the first two friends' months, 12 in all. This happens once per account; each friend after that earns a free month again.
• You can earn up to 12 free months in any 12-month period.
• Only new customers count: one code per new account, someone who has had VendorSnap Pro before doesn't count, and your own accounts don't count.
• Share your link with people you know. Don't post it on coupon or deal sites, advertise with it, or make accounts to use your own code. If you share it publicly, for example on social media, say that you get free Pro time when someone starts Pro.
• Free months have no cash value, can't be transferred, and end if your account is closed. We may hold back or remove a reward earned through abuse. We may change or end the program at any time; months you have already been given stay yours.
• Apple and Google are not sponsors of this program.

6. Selling on other marketplaces

VendorSnap helps you list and manage items on eBay, Etsy, Facebook Marketplace, Vinted, Depop and Poshmark. You decide what to list and where.

• Your accounts, their rules. You list under your own marketplace accounts. You are responsible for following each marketplace's terms, policies and fees, and for everything you publish there. Marketplaces can restrict, remove or suspend listings or accounts under their own rules; we are not responsible for their decisions.
• How it works. eBay and Etsy listings go through their official APIs with the access you approve. Facebook Marketplace, Vinted, Depop and Poshmark listings are filled in on your phone, inside your own signed-in session, and posted when you choose; you can check and finish any listing yourself on the marketplace's own page.
• Taking listings down. When you record a sale, VendorSnap tries to take the item's other listings down for you, except on Vinted: you delete Vinted listings yourself, in the Vinted app. VendorSnap opens the listing there and reminds you while it is still up, but never deletes it for you. Taking listings down is best effort: marketplaces can be slow, unavailable or refuse a request, so check your listings. You are responsible for any double sale, cancellation or fee if a listing stays up.
• Changes on their side. Marketplaces change their sites and APIs, which can stop a feature from working until we update the App. A marketplace feature may be marked beta while we prove it out.
• No affiliation. VendorSnap is not affiliated with, endorsed by or sponsored by eBay, Etsy, Meta, Vinted, Depop, Poshmark or Square. Their names are trademarks of their owners.

7. AI features

The App uses Google Gemini to identify items in photos (Price Check and Shelf Check), to stage photos (Stage with AI) and to help finish a stuck listing form, and it uses eBay's API to show current asking prices. These features are inherently imperfect:

• AI-suggested item names, categories, details and conditions may be wrong.
• Prices are estimates from current eBay asking prices and other data we do not control, which may be incomplete, outdated, or not match your item. Actual value depends on condition, authenticity, market, timing and demand.
• A staged photo must still show your item truthfully. Do not use it to hide flaws or misrepresent an item, and follow each marketplace's rules on edited photos.
• You are responsible for checking every AI suggestion before you list, price or sell. You set the final price.

You agree that we are not liable for any pricing discrepancy, inaccurate or misidentified estimate, lost sale, underpricing or overpricing, or any other loss arising from your reliance on AI- or eBay-derived suggestions. These features are decision-support tools only and are not appraisal, valuation, investment or financial advice.

We may rate-limit, restrict or remove AI features at any time, including by setting monthly or daily limits to manage costs.

8. Acceptable use

You agree not to:

• Use the App for any unlawful purpose, including listing stolen goods, counterfeit items, items prohibited by law or by a marketplace, or items you do not have the right to sell.
• Reverse engineer, decompile or extract source code from the App, except where the law allows it.
• Probe, scan or test the vulnerability of the App or our servers, or interfere with other users' access.
• Use automated means (scripts, scrapers, bots) to access the App or our servers, or try to get around usage limits.
• Upload content that is illegal, defamatory, or that infringes another person's intellectual property or privacy rights.
• Misrepresent your identity or your affiliation with a business or organization.
• Resell, sublicense or commercially exploit VendorSnap itself (for example, selling access to the App to other sellers).

We may suspend or terminate accounts that break these rules.

9. Service availability

We aim to keep the App available but make no uptime guarantee. The App may be unavailable from time to time for maintenance, updates, outages at the services we rely on (for example, Google Cloud or a marketplace), or other reasons outside our control. The App includes an offline mode that lets you keep working when your phone cannot reach our servers. Keep your own records of anything important to your business.

10. Changes to the App

We may add, change or remove features at any time. We will give reasonable notice before removing a feature you rely on.

11. Termination

You may stop using the App at any time and delete your account in Settings › Account › Delete Account. Deleting your account does not cancel a subscription bought through Apple or Google (see Section 5).

We may suspend or terminate your account if you violate these Terms, use the App in a way that exposes us or other users to risk, or as required by law. We will give notice when feasible.

On termination:

• Your access ends immediately.
• Your Content and account data are deleted as described in our Privacy Policy.
• Provisions of these Terms that by their nature should survive (Sections 3, 12, 13, 14, 15 and 16) survive termination.

12. Disclaimer of warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT ANY AI SUGGESTION, PRICE ESTIMATE, OR THAT ANY LISTING WILL BE POSTED, UPDATED OR TAKEN DOWN ON A MARKETPLACE.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VENDORSNAP AND ITS OWNERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, SALES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID FOR THE APP IN THE TWELVE MONTHS BEFORE THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

14. Indemnification

You agree to defend, indemnify and hold harmless VendorSnap and its owners, employees and agents from and against any claim, liability, damage, loss or expense (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the App;
• Any item you list or sell, on VendorSnap or on any marketplace;
• Your Content;
• Your violation of these Terms, of a marketplace's rules, or of any law or third-party right.

15. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or the App will be resolved in the state or federal courts located in Collin County, Texas, and you consent to the personal jurisdiction of those courts.

If you are a consumer based outside the United States, mandatory consumer protections in your country of residence still apply.

16. Apple App Store

If you got the App from the Apple App Store:

• These Terms are between you and us, not Apple. We, not Apple, are responsible for the App and its content.
• Your license to use the App is limited to Apple-branded devices you own or control, as the App Store's Usage Rules allow.
• Apple has no obligation to provide maintenance or support for the App.
• If the App fails to meet any applicable warranty, you may notify Apple, and Apple may refund the price you paid for the App (if any). To the extent the law allows, Apple has no other warranty obligation for the App.
• We, not Apple, are responsible for any claims about the App, including product liability, failure to meet legal or regulatory requirements, and consumer protection or similar laws.
• We, not Apple, are responsible for investigating and handling any claim that the App infringes someone's intellectual property rights.
• You confirm that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.
• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

17. General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us about the App.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Severability. If any provision is found unenforceable, the rest stays in effect.
• Assignment. You may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition or sale of assets.
• Notices. We may give notice through the App or by email to the address on your account.

18. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will tell you in the App or by email, and the App asks you to accept the updated Terms and Privacy Policy before you keep using it. If you do not agree, stop using the App; you can delete your account at any time. Continued use of the App after the effective date means you accept the updated Terms.
