Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and JB Purcell, doing business as VendorSnap ("VendorSnap," "we," "us," or "our") governing your use of the VendorSnap mobile application (the "App").

By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. Eligibility

You must be at least 18 years old and able to form a binding contract under the laws of your jurisdiction to use VendorSnap. By using the App, you represent that you meet these requirements.

VendorSnap is designed for individual sellers, antique mall vendors, flea market operators, and similar small-business resellers. Commercial use outside this scope (for example, large retail chains) is not supported.

2. Your account

• You are responsible for the accuracy of the information you provide.
• You are responsible for all activity that occurs under your account.
• You must keep your password confidential and notify us immediately at support@vendorsnap.app if you suspect unauthorized access.
• You may have only one active account. We may suspend duplicates.

3. Your content and your inventory

You retain all rights to the photos, item descriptions, prices, and other content you upload to VendorSnap ("Your Content"). By uploading, you grant us a limited, worldwide, royalty-free license to host, display, transmit, and process Your Content only as necessary to operate the App for you (for example, displaying your inventory back to you, generating QR tags, or running AI analysis you initiate). This license ends when you delete the content or your account.

You are solely responsible for the accuracy of item descriptions, prices, condition assessments, and the legality of any item you list. We do not verify, endorse, or guarantee the authenticity or legal status of items listed in VendorSnap.

4. Payments and transactions

• VendorSnap is not a payment processor. The App records sales and displays payment handles (cash, Venmo username, Zelle email/phone) so your customers can pay you directly.
• All money flows directly between you and your customer, through cash or a third-party service such as Venmo or Zelle. We do not hold funds, charge cards, or remit payments.
• You are solely responsible for collecting payment, issuing refunds, resolving disputes, and complying with all tax laws applicable to your sales.
• The tax rate field in the App is provided for your convenience to compute totals. It does not constitute tax advice, and we make no representation that any rate or jurisdiction you select is correct.

5. Acceptable use

You agree not to:

• Use the App for any unlawful purpose, including listing stolen goods, counterfeit items, items prohibited by law, or items you do not have the right to sell.
• Attempt to reverse engineer, decompile, or extract source code from the App except where permitted by law.
• Probe, scan, or test the vulnerability of the App or our backend infrastructure, or interfere with other users' access.
• Use automated means (scripts, scrapers, bots) to access the App outside of documented APIs.
• Upload content that is illegal, defamatory, or that infringes another person's intellectual property or privacy rights.
• Misrepresent your identity or affiliation with a mall or organization.
• Resell, sublicense, or commercially exploit VendorSnap itself (selling access to the App to other vendors, for example).

We may suspend or terminate accounts that violate these rules.

6. AI features (Gemini and eBay)

The App uses Google Gemini for AI object detection and eBay's API for price research. These features are provided "as is" and are inherently imperfect:

• AI-suggested item names, categories, and conditions may be wrong.
• AI-suggested prices and eBay comparable data are estimates only and are not guarantees of resale value.
• Price estimates are derived from third-party data (Google Gemini and eBay listings) that we do not control and that may be incomplete, outdated, mismatched to your specific item, or otherwise inaccurate. Actual value depends on condition, authenticity, market, timing, and demand.
• You are responsible for verifying any AI suggestion before publishing, pricing, or selling an item. You set the final price.

You acknowledge and agree that we are not liable for any pricing discrepancies, inaccurate or misidentified estimates, lost sales, underpricing or overpricing, or any other loss arising from your reliance on AI- or eBay-derived suggestions. These features are decision-support tools only and are not appraisal, valuation, investment, or financial advice.

We may rate-limit, restrict, or remove AI features at any time, including imposing per-user daily quotas to manage costs.

7. Service availability

We aim to keep the App available but make no uptime guarantee. The App may be unavailable from time to time for maintenance, updates, third-party outages (for example, Google Cloud), or other reasons outside our control. The App includes an offline mode that lets you keep working when your device cannot reach our servers.

8. Pricing and changes to the App

VendorSnap is currently provided free of charge during launch. We reserve the right to introduce paid tiers, subscriptions, or feature limits in the future, with at least 30 days' advance notice to existing users.

We may add, change, or remove features at any time. We will give reasonable notice before removing a feature you rely on.

9. Termination

You may stop using the App at any time and delete your account in Settings → Account → Delete Account.

We may suspend or terminate your account if you violate these Terms, fail to pay any future fees, use the App in a way that exposes us or other users to risk, or as required by law. We will give notice when feasible.

On termination:

• Your access ends immediately.
• Your Content and account data are deleted as described in our Privacy Policy.
• Provisions of these Terms that by their nature should survive (Sections 3, 10, 11, 12, 13) survive termination.

10. Disclaimer of warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT ANY AI SUGGESTION OR PRICE ESTIMATE.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VENDORSNAP AND ITS OWNERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID US (IF ANY) IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless VendorSnap and its owners, employees, and agents from and against any claim, liability, damage, loss, or expense (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the App;
• Your sale of any item listed in the App;
• Your Content;
• Your violation of these Terms or of any law or third-party right.

13. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or the App will be resolved in the state or federal courts located in Collin County, Texas, and you consent to the personal jurisdiction of those courts.

If you are a consumer based outside the United States, mandatory consumer protections in your country of residence still apply.

14. General

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the App.
• No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
• Severability. If any provision is found unenforceable, the remainder remains in effect.
• Assignment. You may not assign your rights under these Terms. We may assign ours in connection with a merger, acquisition, or sale of assets.
• Notices. We may give notice through the App or by email to the address on your account.

15. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will notify you in the App or by email at least 14 days before they take effect. Continued use of the App after the effective date constitutes acceptance.
